(ii) at a Meeting of the Board, of the Directors present, all SW Directors or all NRI Directors vote against or abstain from voting on the resolution (unless one of their number proposed the resolution); or
(ii) 1 NRI Director.
3.9.12 The quorum at any meeting of Directors (including an Adjourned Meeting) is one SW Director (or his alternate) and one NRI Director (or his alternate).
3.9.15 A meeting of Directors shall be adjourned to another time or date at the request of all the SW Directors or all the NRI Directors present at the meeting.
(ii) at least one SW Director and one NRI Director have voted in favor of it.
